Using the footage for commercial use or advertising purposes without permission of the Austin Convention & Visitors Bureau is strictly prohibited. Licensor hereby grants to Licensee,Licensor's permission to edit and include all or a portion of the above- referenced Footage in the Program,as follows:

Licensor hereby grants to Licensee,Licensor's permission to edit and include all or a portion of the above- referenced Footage in the Program,as follows:
1. Grant of Rights. Licensor grants the licensee in accord with the terms of this agreement,non-assignable,non-exclusive right to use portions of the grantor's video/ film footage as part of a promotional tourism video and b-roll stock footage for a period not exceeding three years. Licensee may also use the video without limitation in other media,including but not limited to broadcast or digital media.
2. Payment. Licensor waives fees for usage of video/ film footage.
3. Warrant and Indemnity. Licensor represents and warrants that (i) Licensor has the right and power to grant the rights herein granted; (ii) neither Licensee's use of the footage pursuant to this license nor anything contained therein infringes upon the rights of any third parties; and (iii) Licensor has not made,and shall not make,any grant or agreement which will or might impair or conflict with the rights granted Licensee herein; (iv) Licensor agrees to indemnify and hold Licensee harmless from and against any and all claims,losses,liabilities,damages and expenses,including reasonable attorneys' fees,which may result from any breach of their respective representations and warranties hereunder.
4. Obligation. Licensee shall not be obligated to use the footage or the rights herein granted or to produce the aforementioned promotional or b-roll videos.
5. Liability. Licensor releases Licensee from liability based on any personal,property,residual,re-use or other right that Licensor has or may have by virtue of any such use of Licensor's name,voice,image and the appearance as a result of the exhibition,broadcast and distribution of the appearance and any accompanying material.
6. Credit. Licensee shall accord Licensor a courtesy credit in the promotional video.
